These Terms of Use govern your access to and use of the website monaraadvisory.com (the "Site"), operated by Monara Advisory FZE LLC, a free zone company registered with the Ajman Nuventures Centre Free Zone (ANC Free Zone), Emirate of Ajman, United Arab Emirates (Commercial Licence No. 2623012459888), with registered address at 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates ("Monara", "we", "us" or "our"). By using the Site, you agree to these Terms. If you do not agree, please discontinue use.

Nature of our services

Monara provides consultancy, analytical, advisory-support and materials-preparation services, which may include financial modelling, valuation analysis, the preparation of investor materials and data rooms, research and management and project consultancy. Monara is not a bank, broker, dealer, investment adviser or other regulated financial institution, and is not licensed or authorised to carry on regulated financial services. Monara does not provide regulated investment, securities or financial advice; does not deal in, arrange, broker or intermediate transactions in securities or other financial instruments; does not manage, hold or take custody of client money or assets; and does not solicit investments or offer securities. Where any regulated activity is required, it is carried out by, or referred to, appropriately licensed third parties.

No advice, no offer, no reliance

The Site and its content are provided for general information only and do not constitute investment, legal, tax, accounting or other regulated financial advice, nor any personal recommendation. Nothing on the Site is an offer, solicitation, inducement or recommendation to buy, sell or subscribe for any security, fund interest or financial instrument, or to enter into any transaction. You should not act or rely on any content without obtaining independent professional advice appropriate to your circumstances. Any engagement, and any advice provided under it, is governed solely by a separate signed agreement and its agreed scope of work; nothing on the Site creates a client relationship.

To the fullest extent permitted by law, the Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including as to accuracy, completeness, fitness for a particular purpose, or uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Monara, its owner and personnel shall not be liable for any direct, indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, data, business or opportunity, arising out of or in connection with your use of, or inability to use, the Site or any reliance on its content, even if advised of the possibility. Monara's total aggregate liability arising from or relating to the Site is limited to AED 100. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Indemnity

You agree to indemnify and hold harmless Monara, its owner and personnel against any claim, liability, loss or expense (including reasonable legal costs) arising from your misuse of the Site or breach of these Terms.

Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. Any dispute shall be subject to the competent courts of Ajman, United Arab Emirates.

Changes

We may update these Terms from time to time. Continued use of the Site means you accept the current version.
